Executive Remuneration: A Hot Communication Topic for South African Businesses
As regulatory scrutiny intensifies, executive remuneration is becoming one of the most sensitive investor communications trends of the year. The subject remains particularly tricky for management teams to navigate — in the last month alone, JSE-listed groups Woolworths, Vodacom, and MTN have had to answer media questions around remuneration and fringe benefits, including security arrangements.
The Companies Amendment Act has also introduced three new elements that will drive scrutiny from internal and external stakeholders:
- Binding shareholder votes: The Act now requires companies to submit their remuneration policies and annual implementation reports to binding shareholder votes at Annual General Meetings (AGMs).
- Published wage gaps: Employers must now publish official wage gaps, including the ratio of the highest-paid to the lowest-paid employees.
- The “Two-Strike” Rule: If shareholders vote down the remuneration report for two consecutive years, remuneration committee members must stand for re-election to the board. They’re then barred from serving on the committee for two years.
